End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“User,” “you,” or “your”) and METRIC HUB LLC (“MetricHub,” “we,” “us,” or “our”), governing your use of the MetricHub software, website (https://MetricHub.co), mobile application, and any related products or services (collectively, the “Software” or “Services”).
By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install, access, or use the Software.
1. License Grant
MetricHub grants you a limited, non-exclusive, non-transferable, revocable license to use the Software and associated documentation for your personal or internal business purposes, in accordance with this Agreement and any applicable plan or subscription you have purchased.
This license does not constitute a sale of the Software or any copy thereof. MetricHub retains all rights, title, and interest in and to the Software, including all intellectual property rights.
2. Eligibility
You must be at least 18 years of age or have reached the age of majority in your jurisdiction to use the Software. By using the Software, you represent and warrant that you meet these requirements and have the legal authority to enter into this Agreement.
3. Account Registration
To access certain features, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
MetricHub reserves the right to suspend or terminate your account if it believes your account information is inaccurate, incomplete, or used in violation of this Agreement.
4. License Restrictions
You agree not to:
Copy, modify, or create derivative works of the Software.
Reverse engineer, decompile, or attempt to extract the source code of the Software.
Rent, lease, sell, sublicense, or transfer the Software to any third party.
Circumvent or disable security features or license controls.
Use the Software for unlawful, fraudulent, or abusive purposes.
Use the Software to store or transmit infringing, defamatory, or unlawful content.
Access the Software to build a competing product or service.
MetricHub reserves the right to terminate or restrict your license if it determines you have violated these restrictions.
5. Integrations and Third-Party Services
The Software may allow you to connect or integrate with third-party services (e.g., QuickBooks, Stripe, Google, Facebook, or other business tools).
Your use of third-party integrations is subject to each provider’s own terms and privacy policy. MetricHub is not responsible for any third-party content, data handling, or practices.
6. Subscription and Payment Terms
Access to certain features may require a paid subscription. All payments are processed securely through Stripe or other authorized providers.
Subscription fees are billed in advance and are non-refundable, except as required by law or as expressly stated otherwise by MetricHub.
MetricHub reserves the right to modify pricing, plans, or features at any time, with reasonable notice to you.
7. Intellectual Property Rights
All content, trademarks, logos, and technology used in the Software are owned by or licensed to METRIC HUB LLC and are protected by intellectual property laws.
You acknowledge that MetricHub retains all ownership and proprietary rights in the Software and agree not to claim any ownership interest or intellectual property rights therein.
8. Data Collection and Privacy
By using the Software, you agree that MetricHub may collect and process certain personal and usage data in accordance with its Privacy Policy, available at https://MetricHub.co/privacy-policy.
This may include integration data, analytics, and other information necessary to operate, maintain, and improve the Services.
9. Updates and Maintenance
MetricHub may provide updates, upgrades, bug fixes, or new features (“Updates”) at its discretion. Updates may be automatically installed without prior notice. Continued use of the Software after such Updates constitutes acceptance of the revised version.
10. Termination
This Agreement remains in effect until terminated by you or MetricHub.
You may terminate this Agreement at any time by discontinuing use of the Software and deleting your account.
MetricHub may terminate this Agreement immediately if you breach any term of this Agreement or engage in conduct harmful to the company, its users, or third parties.
Upon termination, all rights granted to you under this Agreement will immediately cease.
11. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
METRIC HUB LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Software will be error-free, uninterrupted, secure, or compatible with all devices or configurations.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRIC HUB LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE SOFTWARE.
IN NO EVENT SHALL METRIC HUB LLC’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID (IF ANY) FOR ACCESS TO THE SOFTWARE DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless METRIC HUB LLC, its officers, employees, agents, and affiliates from any claims, damages, liabilities, losses, or expenses arising from your:
Use of the Software;
Violation of this Agreement; or
Infringement of any third-party rights.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, USA, without regard to conflict of law principles.
Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois, and you consent to such jurisdiction and venue.
15. Export Compliance
You agree not to export, re-export, or transfer the Software in violation of applicable export control laws or regulations, including those of the United States.
16. Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
This Agreement, together with our Privacy Policy and Terms of Service (if applicable), constitutes the entire agreement between you and METRIC HUB LLC regarding your use of the Software and supersedes all prior or contemporaneous communications.
